1. Who these terms cover. These terms apply to everyone in the Revinix affiliate program run through UpPromote. By joining, you agree to them. If you have signed an Affiliate and Usage Rights Addendum with Revinix, the addendum controls on usage rights, whitelisting, content, and disclosure. These terms control on commission, any customer offer, payouts, changes to those terms, and ending participation.
2. Commission. You earn the commission rate for the program you are in, as shown in your UpPromote dashboard, on Net Revenue from each Qualifying Purchase.
- Net Revenue means the amount Revinix actually receives from the customer for a Qualifying Purchase, after discounts, refunds, and chargebacks, and excluding taxes, shipping charges, and duties collected from the customer. Payment processing fees are paid by Revinix and are not deducted.
- A Qualifying Purchase is an order shipped to an address in Canada, made through your affiliate link or code, that is not refunded or charged back.
- These are not Qualifying Purchases: purchases by you or your immediate family; orders of more than 2 units to one address; orders from codes posted on coupon or deal sites; orders from paid ads you run with your code or link without Revinix's written approval; and sales from Revinix paid ads that do not use your code or link.
3. Payout. Commission on an order is earned once the 30 day money back period for that order ends, and is paid monthly through UpPromote via PayPal. If an order is refunded or charged back after commission is paid, that commission is deducted from future payouts.
4. Changes. Revinix may change the commission rate, any customer offer attached to your code, or these terms by giving you at least 14 days notice by email. Changes apply only to purchases made after they take effect.
5. Leaving the program. Either side may end your participation at any time, for any reason, with 14 days notice by email. Revinix may remove you immediately if you break these terms, make false or unapproved claims about the product, fail to disclose your relationship with Revinix, misuse or publicly post your code, commit fraud, or act in a way that harms the Revinix brand. When you leave, your code and link are turned off. You are still paid commission on Qualifying Purchases made before your end date.
6. Promotion rules. You must clearly disclose that you earn a commission on every post, following Canadian advertising rules and platform rules. Only make product claims Revinix has supplied or approved, and make no medical claims.
7. Independent status and taxes. You are an independent contractor, not an employee, partner, or agent of Revinix. You are responsible for your own taxes on commissions, including any GST/HST.
8. Governing law. These terms are governed by the laws of Ontario and the federal laws of Canada that apply there.
